Seed Funding and the Equity Incentive

Modern Design Platform is a B2B Marketplace & Internet Platform. Our focus is luxury furnishings for projects such as hotels, upscale restaurants and luxury homes. We are a startup in the quickly growing B2B marketplace world. We fuse subject matter expertise, creative thinking and enabling technology to provide a unique solution to pain in a fragmented $35B offline world.

Our technology is built and functional and on display in our sites. modernwallpaper (upper left) has a full compartment of products. Other sites add new products daily.

This page is designed to provide information about an incentive to potential investors who may become significant equity participants in our seed funding (fine print below). This will be available through an equity crowdfunding platform. Please Note: We are 'testing the waters' to gauge investor interest in an offering under Regulation Crowdfunding. No money or other consideration is being solicited. If sent, it will not be accepted. No offer to buy securities will be accepted. No part of the purchase price will be received until a Form C is filed and only through our equity crowdfunding platform. Here’s the fine print:

If you, your business, a colleague, a friend or family member is looking to furnish a project or a home, here’s an example of how a $300,000 seed investment in Modern Design Platform gives you access to particpate in a program that provides furnishing products for an entire home or commercial project at manufacturers invoiced cost of goods prices. This incentive program will be offered only to the first significant investor in our seed funding. Here's how this works:

To begin, for example, you make a *$300,000 seed investment in Modern Design Platform through our equity crowdfunding platform:

We will purchase your chosen furnishing products and charge you at manufacturers invoiced cost of goods prices. In this example, you choose products that sell at a *Normal Contract Price for $500,000, the cost to you will be $300,000.

  • Additionally, we'll arrange for the following Design services if required:
    • Creative concept, renderings, product discovery & specifications for your approval
    • Although design fees vary widely, on a luxury modern project of this size, they would generally be around 20% of the price of products, so $100,000 in this example
    • If products have already been chosen, or if you wish us to collaborate with your designer, we will increase the products purchased until an equivilent value has been realised 

We’ll also manage all logistics (product purchasing, delivery & installation). Out of pocket logistics (cost of shipping, local delivery etc.,) would be passed through to you at vendor cost of services prices

*Normal Contact Price: and how do we arrive at the value of your savings? Normal Contract Price is our standard price to commercial contract customers. It is a significantly lower price than a typical “Net” price including discounts that dealers & showrooms provide to designers. 

Value of Savings: Based on our most recent 30 month average gross profit margin of 46%, at our Normal Contract Price of $500,000 you would actually pay $300,000 at manufacturers invoiced cost of goods prices thus saving $200,000. In addition, waiving the design fee will add value of approximately $100,000.

In this example, you would receive $600,000 in total value of furnishing products for a payment of $300,000. In addition, you would have made a $300,000 equity investment in Modern Design Platform seed funding to enable our startup to hit the ground running.
